# SC 13D / 13G beneficial ownership positions for one issuer CIK

`GET /api/v1/sec/edgar/13d-g/{cik}/positions`

SC 13D / 13G / amendments beneficial ownership positions affecting the given issuer CIK in the inclusive [from_date, to_date] window. The ``active`` flag is derived at READ TIME per the ``as_of`` parameter (default = to_date): for each (beneficial_owner_cik, issuer_cik) pair, the LATEST filing with ``filed_at <= as_of`` is marked ``active=True``; earlier filings in the same chain are ``active=False``. Supports historical 'who held >X% as of YYYY' queries without blob rewrites. Retention 730 days.

- `from_date` string, required — Inclusive window start (YYYY-MM-DD).
- `to_date` string, required — Inclusive window end (YYYY-MM-DD).
- `schedule` string — Filter to one of: 13D | 13G | both.
- `as_of` string, nullable — Date at which the ``active`` flag is evaluated. Defaults to ``to_date``.

      - `filing_accession` string, required — SEC accession.
      - `form` string, required — 'SC 13D', 'SC 13G', 'SC 13D/A', 'SC 13G/A'.
      - `schedule` string, required — '13D' or '13G' (variant suffix stripped).
      - `is_amendment` boolean, required — True for /A filings.
      - `amends_accession` string, nullable — Accession of original SC 13D/G for amendments.
      - `filed_at` string, required — Filing publish timestamp (ISO).
      - `beneficial_owner_cik` string, nullable — CIK of the beneficial owner (10-digit zero-padded); null when owner not assigned a CIK.
      - `beneficial_owner_name` string, nullable — Beneficial owner name.
      - `shares_owned` number, nullable — Shares beneficially owned.
      - `percent_owned` number, nullable — Percent of class beneficially owned.
      - `event_date` string, nullable — Date of beneficial-ownership change reported in filing (ISO).
      - `active` boolean, required — True when this is the LATEST filing for the (beneficial_owner_cik, issuer_cik) pair with ``filed_at <= as_of``. Derived at API read time.
      - `primary_doc_url` string, nullable — URL of the SC 13D/G document.
  - `meta` SugraMeta, required — Metadata attached to every /api/v1/* response envelope.
    - `endpoint` string, required — Requested endpoint path.
    - `data_time` string, required — ISO 8601 UTC timestamp of the source data, not of the request.
    - `response_time` string, required — ISO 8601 UTC timestamp when this response was produced.
    - `provider` string, required — API name and version.
    - `source` string, nullable — Identifier of the primary upstream source used for this response.
    - `attribution` string, nullable — Human-readable attribution mandated by an upstream source (e.g. a securities regulator or self-regulatory organization). Present only on responses whose source requires the owner and source to be clearly identified. Do not remove or alter it when using the response.
    - `fallback_used` boolean, nullable — True when the primary source failed and a fallback produced the data.
    - `fallback_chain` string[], nullable — Ordered list of sources attempted, in the order they were tried.
    - `cached` boolean, nullable — True when this response was served from the internal cache.
    - `stale` boolean, nullable — True when the cached response was returned after the upstream rate-limited or errored. Clients can use this to detect degraded data.

## Other responses

- `401` — Missing or invalid `x-api-key` header. JSON body with a stable `code` distinguishing `missing_api_key` (no header sent) from `invalid_api_key` (header sent, key not accepted); any other 401 source carries the generic `unauthorized` with its detail as `reason`. Plus `hint`. `plan` is always null on 401 - an unauthenticated request has no plan; quota exhaustion is 429, not 401.
- `422` — Validation Error
- `429` — Daily rate limit exceeded. Check `X-RateLimit-Reset` for the next window.
- `503` — Upstream source is temporarily unavailable. Retry after a short delay.
